Client Responsibilities

Clients agree to:

  • Provide accurate project requirements and necessary information.
  • Supply content, images, credentials, and other materials required for the project.
  • Ensure they have the legal rights to use all materials provided to us.
  • Review deliverables and provide feedback or approvals within agreed timelines.
  • Ensure that their requested content and business activities comply with applicable laws.

Delays in providing required information or approvals may affect project timelines.

Pricing and Payments

The following payment terms apply:

  • All project fees, payment schedules, and applicable taxes will be communicated before work begins.
  • Payments must be made according to the agreed proposal or contract.
  • Additional features or changes outside the agreed scope may incur additional charges.
  • Work may be paused if payments are overdue, subject to the applicable agreement.
  • Any applicable taxes, third-party charges, hosting fees, or licensing costs will be communicated where relevant.

Project Scope and Revisions

The project scope will be defined in the approved proposal or agreement.

Requests for additional functionality, significant design changes, or modifications beyond the agreed scope may require a revised estimate, additional payment, and an adjusted timeline.

The number of included revisions, where applicable, will be specified in the project agreement.

Project Timelines and Delivery

We make reasonable efforts to complete projects within the agreed timelines. However, delivery dates may be affected by client delays, changes in requirements, third-party dependencies, or circumstances beyond our reasonable control.

Any significant changes to the project timeline will be communicated to the client.

Intellectual Property Rights

Unless otherwise agreed in writing:

  • Upon receipt of full payment, the client will receive ownership of the custom deliverables specifically created for their project, subject to applicable third-party rights.
  • Dial for Web retains ownership of its pre-existing tools, frameworks, reusable code, methodologies, and proprietary materials.
  • Third-party software, plugins, themes, fonts, and other licensed materials remain subject to their respective license terms.
  • We may request permission to showcase completed projects in our portfolio or promotional materials.

Confidentiality

Both parties agree to take reasonable steps to protect confidential information shared during the project and not to disclose it to unauthorized parties, except where disclosure is required by law or necessary to perform the agreed services.

Website Maintenance and Support

Maintenance, technical support, updates, backups, and security monitoring are included only where specified in the applicable service agreement.

Unless otherwise agreed, ongoing maintenance and support after project delivery may require a separate agreement or additional fees.

Third-Party Services

Our projects may involve third-party platforms, hosting providers, plugins, payment gateways, APIs, or other services.

Dial for Web is not responsible for third-party outages, service interruptions, policy changes, pricing changes, or failures beyond our reasonable control. Clients are responsible for applicable third-party subscriptions and licensing fees unless otherwise agreed.

Warranties and Disclaimer

We will perform our services with reasonable care and skill.

However, to the extent permitted by law, we do not guarantee that:

  • A website will operate without interruption or errors.
  • A website will achieve specific traffic, sales, search engine rankings, or business results.
  • Third-party services will remain available or compatible indefinitely.

Any additional warranties or service commitments must be agreed upon in writing.

Limitation of Liability

To the extent permitted by applicable law, Dial for Web will not be liable for indirect, incidental, special, or consequential losses, including loss of profits, revenue, business opportunities, or data.

Our liability for direct losses arising from a project will be subject to the terms of the applicable agreement and limitations permitted by law.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Termination

Either party may terminate a project in accordance with the applicable agreement.

If a project is terminated:

  • The client must pay for services performed and approved expenses incurred up to the termination date, subject to the agreement.
  • Any outstanding payments become payable in accordance with the agreed terms.
  • Project materials and deliverables will be handled according to the payment and intellectual property provisions of the applicable agreement.

Website Use

You agree not to:

  • Use our website for unlawful or fraudulent purposes.
  • Attempt to gain unauthorized access to our systems or services.
  • Upload malicious software or harmful code.
  • Interfere with the security, availability, or operation of our website.
  • Copy or misuse our website content, branding, or intellectual property without permission.

We reserve the right to restrict access to our website where reasonably necessary to protect our services or comply with applicable law.

Privacy

Your use of our website is also subject to our Privacy Policy, which explains how we collect, use, and protect personal information.

Governing Law and Disputes

These Terms and Conditions shall be governed by the laws of India, subject to applicable legal requirements.

The parties will attempt to resolve disputes through good-faith discussions. Where a dispute cannot be resolved amicably, it will be handled by the competent courts having jurisdiction in Faridabad, Haryana, subject to applicable law.
